10 Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the jurisdiction of such courts.
11 Dispute Resolution
In the event of any dispute arising under or relating to these Terms, both parties agree to first attempt to resolve the matter through informal negotiation. If a resolution is not reached within 30 days, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association.
You agree to waive your right to participate in any class action lawsuit or class-wide arbitration.

We reserve the right to modify or update these Terms at any time. If we make material changes, we will notify you by updating the effective date at the top of this page. Your continued use of the Site after any such changes constitutes your acceptance of the revised Terms.
